Below is an overview of the Terms of Service for the Gather Platform, which includes any Gather website, application, or service. Please read the complete Terms of Service carefully, as they form a legally binding agreement between you and Gather.

These Terms include important information about:

  • Your legal rights

  • Limitations of liability

  • Assumption of risk related to in-person gatherings

  • Payments, tokens, and subscriptions

  • Mandatory arbitration and class action waiver (for U.S. users)

By accessing or using the Gather Platform, you agree to these Terms of Service.

If you violate these Terms, we may restrict or remove your content, suspend, or terminate your account.

Some aspects of Gather are free, while others may require payment, including subscriptions, tokens, or event-related fees.

Gather is a platform that allows people to host, discover, and attend real-world gatherings, which may include events hosted in private homes or other non-public venues.

  • Hosts may set criteria for who can attend their gatherings.

  • Hosts may request payments or tokens to help cover costs such as food, drinks, or space.

  • Gather does not organize, supervise, or control gatherings.

Participation in gatherings involves meeting people in real life, which carries inherent risks. Gather is not responsible for what happens at gatherings.

1. This Agreement

1.1 The Agreement

These Terms of Service (“Terms” or “Agreement”) are a legally binding agreement between you and Gather (“Gather,” “we,” “us,” or “our”).

“Platform” means any Gather website, mobile application, or service, including content we provide and communications we send.

By using the Platform, you agree to these Terms and all incorporated policies, including our Privacy Policy and any additional guidelines posted on the Platform.

If you are using Gather on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree, do not use the Platform.

1.2 Changes to These Terms

We may update these Terms from time to time. We will update the “Last Updated” date and may notify you of material changes.

Your continued use of the Platform after changes take effect constitutes acceptance.

2. Eligibility, Accounts, and Termination

2.1 Eligibility

You must be at least 18 years old to use Gather.

You represent that:

  • You are at least 18

  • You can legally enter into this Agreement

  • Your use of Gather complies with all applicable laws

2.2 Account Responsibility

You are responsible for:

  • Maintaining accurate account information

  • Keeping your login credentials secure

  • All activity that occurs under your account

Notify us immediately if you believe your account has been compromised.

2.3 Account Suspension or Termination

We may remove content or suspend or terminate your account at any time if we believe you:

  • Violated these Terms

  • Created risk or potential legal exposure

  • Acted in a way that harms the Gather community

We are not obligated to provide refunds if your account is terminated due to violations.

3. Payments, Tokens, and Subscriptions

3.1 Gather Fees

Some features of Gather may require payment, including:

  • Subscriptions

  • Tokens or credits

  • Event-related fees

All fees are listed in U.S. dollars unless stated otherwise and are non-refundable unless required by law or explicitly stated.

3.2 Tokens and Event Payments

Tokens may be used to help cover gathering-related costs (e.g., food, drinks, supplies, or space).

Gather:

  • Does not guarantee how hosts use funds

  • Does not control host spending

  • Is not responsible for disputes over value or cost-sharing

Tokens have no cash value, are not legal tender, are non-transferable, and are not redeemable for cash unless required by law.

Use your judgment before purchasing tokens or attending paid gatherings.

3.3 Automatic Renewals

If you purchase a subscription, it may automatically renew unless canceled before the renewal date.

4. Content and Privacy

4.1 Your Content

“Content” includes any text, images, messages, event details, or other material you submit to Gather.

You are responsible for your Content and represent that:

  • You have rights to post it

  • It is lawful and accurate

  • It does not violate others’ rights

4.2 License to Gather

You retain ownership of your Content, but you grant Gather a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, modify, and distribute your Content to operate and promote the Platform.

This license survives account termination.

4.3 Privacy

Our collection and use of personal data is governed by our Privacy Policy.

We are not responsible for how other users use information you share with them.

5. Platform Rules and User Conduct

5.1 Acceptable Use

You agree not to:

  • Harass, abuse, or harm others

  • Post false, misleading, or illegal content

  • Use Gather for unauthorized commercial purposes

  • Scrape or misuse Platform data

  • Impersonate others

5.2 No Background Checks

Gather does not conduct background checks or verify user identities beyond basic account information.

We make no guarantees regarding the conduct, safety, or intentions of users.

6. In-Person Gatherings & Assumption of Risk

6.1 No Responsibility for Events

Gather is not a party to gatherings.

We do not:

  • Organize events

  • Supervise hosts or attendees

  • Provide security or safety assurances

6.2 Assumption of Risk

By attending or hosting a gathering, you acknowledge and assume all risks, including:

  • Personal injury

  • Property damage

  • Illness

  • Theft

  • Harassment or misconduct by others

You attend gatherings at your own risk.

7. Release

To the fullest extent permitted by law, you release Gather and its founders, employees, contractors, and affiliates from all claims arising from:

  • Gatherings

  • Interactions with other users

  • Payments or token use

  • Content posted by others

8. Indemnification

You agree to indemnify and hold harmless Gather from any claims arising out of:

  • Your use of the Platform

  • Your Content

  • Your conduct at gatherings

  • Your violation of these Terms or the law

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We disclaim all warranties, including:

  • Merchantability

  • Fitness for a particular purpose

  • Accuracy or reliability of gatherings or users

We do not guarantee that the Platform will be available at all times, uninterrupted, or error-free, and we may modify or discontinue features at any time.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Gather is not liable for indirect, incidental, or consequential damages

  • Our total liability is limited to the greater of $100 or the amount you paid us in the prior 12 months

11. Dispute Resolution & Arbitration (U.S. Users)

You agree to resolve disputes through binding arbitration, not court, except for small claims.

  • Claims must be brought individually

  • Class actions are waived

  • Arbitration will take place in the United States under applicable rules

EU users may have additional rights under local law.

12. Third-Party Services

The Platform may integrate with or link to third-party services (such as payment processors or mapping tools). Gather does not control and is not responsible for third-party services, their availability, or their actions.

13. General Terms

  • Governing Law: Laws of the United States (or a specific state once incorporated)

  • No Agency: Hosts and members are not Gather agents

  • Severability: Invalid provisions do not affect the rest

  • Survival: Liability, arbitration, and indemnity clauses survive termination
